- SEC permits access to and use of MemoryLink on the following terms.
- You are permitted to view and download, at your own risk, the content of MemoryLink for your organization's legitimate dealings with SEC. You must not alter any data downloaded from MemoryLink without SEC prior consent.
1 . SEC shall provide you with a user ID and password("Security Credentials") to allow you to access MemoryLink. You are responsible for the confidentiality of such Security Credentials and you must not disclose them to others. You will notify SEC immediately if you become aware of any known or suspected unauthorized access of Security Credentials.
2 . SEC may change the Security Credentials from time to time and will notify you accordingly.
3 . SEC recommends you to take all appropriate preventative measures before downloading information from MemoryLink. You agree undertake all appropriate protective measures to prevent the introduction of viruses by you to MemoryLink.
4 . You must not or otherwise attempt to modify, contaminate, or breach security of MemoryLink.
5 . We request that you assist us in maintaining the accuracy of your registered personal information MemoryLink. Please notify us of changes to your name, address, title, phone number, email address, or other information registered in MemoryLink. Our site allows you to provide these updates yourself via the User Information page.
6 . If SEC suspects there is a risk to the security of MemoryLink, it shall be entitled to suspend or restrict access at its own discretion.
- Your use of this MemoryLink does not permit you to use or any provide you with any rights in any name or trademark of SEC. You shall not alter, obscure or remove those trademarks or other proprietary notices in any copies of the information that you download.
1 . SEC cannot guarantee and does not warrant and represent that the information contained in this MemoryLink is accurate, complete or up to date and your reliance on any such information is solely at your own risk.
2 . While MemoryLink's objective is to provide uninterrupted access to the website, MemoryLink may make the site, or any portion thereof, unavailable from time to time for any reason including, without limitation, routine maintenance. For the avoidance of doubt, MemoryLink does not guarantee the availability or access of the site, or of any feature, database, or service available through the site, or that access will be uninterrupted or error free. MemoryLink reserves the right to interrupt, limit, change, suspend or discontinue the site operations from time to time, with or without notice.
3 . Subject to clause 5.1, SEC shall not be liable, whether in contract, tort, or any other legal claim, for (i) loss of profits; (ii) loss of revenue; (iii) loss of goodwill or reputation; (iv) loss of contracts; or (v) for any other special, indirect or consequential loss arising due to your company's use of or in connection with this MemoryLink. To the extent permitted by law, the total liability of SEC, for any claims under these terms or arising out of the use of MemoryLink, including for any implied warranties, is limited to $500 USD.
4 . Save as expressly set out in these terms, SEC excludes all warranties, terms and conditions implied by statute or law, to the fullest extent allowed by law.
- SEC is not liable for any links of other websites posted on MemoryLink or the content or material contained therein.
1 . You acknowledge that the information contained in MemoryLink is confidential and that certain confidential information may constitute a trade secret. You shall not disclose the information (or any part thereof) to any person, without SEC's consent, except to those persons engaged by you organization who have a need to know the confidential information for the purposes of exercising your commercial relations with us and who have been advised of the confidential nature of such information.
2 . Transactions conducted between any company, entity, or person and SEC via MemoryLink will be governed by the mutually executed Purchase Agreement or similar document which applies to the products or services which are the subject of such transactions. If no Purchase Agreement or similar document applies, such transactions will be governed by Samsung's then-current standard purchase order terms and conditions. Information exchanged via MemoryLink will continue to be governed by the applicable Corporate Non-Disclosure Agreement or similar agreement ("CNDA") in place between SEC and the applicable parties. All pricing, product availability, ordering and similar information disclosed viaMemoryLink will be deemed SEC "Confidential Information" under the applicable CNDA, regardless of whether the CNDA's marking or other similar requirements are met. All parties agree to execute documents and take all other actions reasonably necessary to effectuate the intent of the applicable CNDA.
3 . You shall promptly inform SEC if you become aware of any breach or suspected breach of confidence regarding confidential information by any person or entity and shall give SEC all reasonable assistance in connection with any proceedings which SEC may instigate as a result of any such breach. These obligations of confidence shall not apply to information that is or falls into the public domain other than by breach of these obligations.
1 . In general we gather information about our users collectively, such as what areas within MemoryLink users visit most frequently. We use that data in the aggregate to help us determine what is beneficial to our users.
2 . We may store some information on the visitor's computer in the form of a "cookie" or other similar file. These files allow SEC to tailor MemoryLink to reflect our visitor's, customer's and subscriber's preferences. Most browsers allow users to exercise control over such files on their computers by erasing them, blocking them, or notifying the user when such a file is stored.
1 . SEC may terminate your access to MemoryLink without notice.
2 . Termination shall not affect rights or remedies accruing up to the date of termination under these Terms or at law nor any provision which is either expressly or by implication to continue after termination, which shall include but not be limited to paragraphs 5, 7, 8, and 10.
1 . These Terms constitute the entire agreement between SEC and you in respect of your use of MemoryLink. SEC SHALL NOTIFY YOU OF CHANGES TO THESE TERMS BY CONSPICUOUSLY POSTING SUCH CHANGES ON MEMORYLINK. YOUR CONTINUED USE OF MEMORYLINK AFTER NOTICE OF CHANGE SHALL BE DEEMED ACCEPTANCE OF THE CHANGE.
2 . Your right to use MemoryLink is personal to you and may not be carried out by another on your behalf without SEC's prior written consent.
3 . A waiver by SEC of a breach of any term or condition of the Terms shall not be deemed as a continuing waiver or a waiver of any subsequent breach or the same of any other provisions.
4 . The provisions of the Contracts (Rights of Third Parties) Act 1999 (or any analogous laws) shall not apply to these Terms.
5 . If any provision of these Terms is held to be illegal, invalid or unenforceable, (i) that provision shall be deemed amended to achieve as nearly as possible the same economic effect as the original provision, and (ii) the legality, validity and enforceability of the remaining provisions of these Terms shall not be affected or impaired thereby.
6 . SEC controls and operates this Site from its headquarters in the Republic of Korea and makes no representation that the Contents are appropriate or will be available for use in other locations. If you use this Site from outside the Republic of Korea, you are entirely responsible for compliance with applicable local laws, including but not limited to the export and import regulations of other countries in relation to the Contents.
7 . All disputes arising out of or in connection with the Terms shall be referred to be finally resolved by arbitration in Seoul, Korea and shall be decided pursuant to the Rules of Conciliation and Arbitration of the International Chamber of Commerce.
8 . The Laws of the Republic of Korea shall govern the Terms. Any decision rendered by the arbitration panel shall be binding, final and conclusive upon the parties, and a judgment may be enforced in any court of competent jurisdiction.
